Digital Marketing & Service Plans
1. General
By submitting this form and engaging our digital services, you agree to be bound by these terms and conditions. These terms apply to all ongoing service plans including, but not limited to, Google Ads, SEO, Website Hosting, Social Media Management, Custom Marketing, and any other recurring digital services we may offer.
2. Scope & Changes
The scope of services is outlined in your selected plan. Pricing is based on the plan level chosen and estimated time and effort required. Any additional work or changes requested beyond the agreed scope will be quoted separately and may incur additional fees. Monthly plans automatically renew unless canceled with 30 days’ written notice.
3. Payment Terms
- Setup Fee: A one-time setup fee may be required before work begins, depending on the specific service.
- Monthly Payments: All ongoing plans require monthly payments, due on the same day each month.
- Payment Methods: We accept credit card, direct debit, or bank transfer.
- Late Payments: Payments not received within 7 days of the due date may result in service suspension. A late fee of 10% may be applied to overdue invoices.
If payment is not received within 7 days of the due date, we reserve the right to pause all ongoing work and support under your plan until the account is brought up to date. - Third-Party Costs: Some services may incur additional third-party costs (such as Google Ads spend, social media advertising costs, stock images, premium plugins, domain registration, or hosting fees) which are separate from our management fees.
- Hourly Rate: Our standard rate for web design and development is $140 + GST per hour. This rate applies to any work beyond the hours included in your plan.
- Advance Payment: We require hosting purchases, support plans, and SEO plans to be paid in advance, and they are non-refundable once in use.
- Auto-Renewal: All plans and monthly packages automatically renew at the regular pricing for the same billing period, unless you cancel prior to the renewal date (to avoid recurring charges).
- All Prices: All prices are in AUD and don’t include GST unless specifically stated.
4. Performance & Reporting
- We will provide regular reports detailing performance metrics relevant to your specific service plan.
- While we use industry best practices, we cannot guarantee specific outcomes, rankings, traffic increases, or conversion rates, as digital platforms operate on proprietary algorithms that change frequently.
- Initial results may take time to materialize, particularly for SEO and organic growth strategies.
- For SEO services: While our SEO plans are designed to enhance your site’s visibility, specific outcomes such as increased rankings or traffic cannot be guaranteed due to the dynamic nature of search engines and market conditions. We focus on implementing best practices and providing detailed reports to showcase progress and adjustments made.
- SEO subscription plans have a 3-month minimum term, which is a reasonable amount of time to see some positive results.
5. Client Responsibilities
- Providing timely access to necessary accounts, websites, platforms, and analytics.
- Supplying relevant content, product information, images, or business details as requested.
- Reviewing and approving campaigns, content, designs, and other deliverables within requested timeframes.
- Informing us of any changes to business offerings, promotions, or operations that may impact our services.
- Maintaining accurate contact information and responding to communications in a timely manner.
6. Service-Specific Terms
Each service package is designed for a single website or business entity unless explicitly stated otherwise.
Website Hosting
- Included with our base hosting plans is 10GB of disk space. Additional storage is charged at $360 per year for every extra 10GB.
- Before charging for extra storage, we will discuss usage with you and attempt to reduce usage, compress images, and explore other options.
- The hosting package is for a single WordPress site. Development or staging sites can be set up at no extra cost.
- Reasonable usage conditions apply to ‘unlimited bandwidth’ and Akismet API usage.
- We don’t include server-based email inbox migrations. We suggest moving to a modern cloud-based platform prior to website migration.
- Hosting plans are available in 6-month or 12-month renewal periods.
- We will maintain server infrastructure, security updates, and regular backups.
- Downtime due to maintenance will be minimized and scheduled during low-traffic periods where possible.
- We are not responsible for downtime caused by third-party providers or circumstances beyond our reasonable control.
Social Media Management
- The social media management package is for a single business entity.
- Content calendars will be provided for approval before publishing.
- We are not responsible for user-generated content, comments, or interactions on managed platforms.
- Social media platforms may change their policies, algorithms, or features, which could impact our services.
- Theme updates and app updates form a part of your plan’s yearly support time, if applicable.
- We reserve the right to add a small link back to our website in appropriate locations as we are proud of our work.
Digital Advertising (Google Ads, Social Media Ads, etc.)
- Payment for ads comes directly from your account. Google will bill you monthly or when your account reaches $1,000.
- You will be set up as an admin on your Ads campaign and guided on how to set up billing information.
- We will distribute your specified daily spending limit across all your campaigns.
- Initial setup typically takes 1-2 weeks to get your ads running, after which we’ll continue to make updates and build your campaign.
- Google Ads plans have a 3-month minimum term.
- Unlike other companies, you own the account and are welcome to take over management after the minimum term.
- Ad spend is separate from management fees and paid directly to the platform.
- Campaign performance depends on multiple factors including competition, budget, and market conditions.
7. Intellectual Property & Copyright
- The client guarantees they have rights to all content, logos, and materials provided.
- Content, designs, and strategies created specifically for your campaigns remain your property after full payment.
- We reserve the right to display non-confidential work in our portfolio and case studies.
8. Liability & Warranty
- We strive for quality but cannot guarantee error-free work or specific business outcomes.
- We are not liable for any business loss, including lost profits, opportunities, or data.
- Maximum liability is limited to the amount paid for services in the preceding three months.
- The client is responsible for reviewing deliverables before they go live.
9. Account Access & Ownership
- Accounts created for the client (such as Google Ads, analytics, etc.) belong to the client.
- We will maintain administrative access during the service period.
- Upon termination and full payment of outstanding invoices, we will transfer full control to the client and remove our access if requested.
- For hosting services, website files will be provided upon request after termination, subject to all outstanding invoices being paid.
10. Termination & Cancellation
- We require 30 days’ notice to cancel your account or service.
- To cancel your plan, contact your account manager, customer support on (07) 5535 0063, or email support@thriveweb.com.au.
- Subscription plans (including SEO and Google Ads) have a minimum term of 3 months.
- If the client chooses to cancel before the minimum term (if applicable), they are liable for 50% of the remaining contract value.
- All work completed up to the termination date must be paid in full.
- If the client is unresponsive for 30 days, services may be paused, but monthly fees will continue to accrue.
- Setup fees and monthly payments are non-refundable once services are in use.
- For website hosting, we will maintain a backup of your website for 30 days after termination, after which all data may be permanently deleted.
11. Changes to Terms and Pricing
- We reserve the right to change pricing and these terms at any time.
- We will notify clients of significant changes to terms or pricing that affect their current service plan.
12. Dispute Resolution
Any disputes will first be negotiated in good faith. If unresolved, disputes will be mediated under Queensland law.
Authorization and Acceptance
Electronic Acceptance: By completing this form and clicking “I Agree” below, you confirm you have read, understood, and accepted these Terms of Trade. You acknowledge this electronic acceptance constitutes a legally binding agreement between your business and our company.
